1. Agreement and scope
These Terms of Sale ("Terms") constitute a legally binding agreement between DEMAND LAB CO. LTD ("Company," "we," "our," or "us") D.B.A. AgencyDemand (the "Platform"). By accessing our services or completing a purchase, individuals or entities ("users") acknowledge and agree to these Terms. Users include any person or business that registers for an account, subscribes to our services, accesses the platform, or utilizes any features provided by AgencyDemand.
2. Subscription services and credit system
Our service operates on an annual subscription model, which includes a one-time allocation of 10,000 export credits for the full year. One credit is used to export a company profile, including all decision-makers’ LinkedIn URLs, and two additional credits are used if you choose to include verified email addresses for those decision-makers, making it a total of three credits per full export. Each search result displays 10 companies, consuming one credit per displayed company. However, if a previously viewed company is exported later, no additional credits are used, regardless of whether email addresses are included. Credits are valid for one year from the subscription date and do not roll over.
3. Payment terms and processing
All subscriptions are billed annually in advance through our secure payment processor, Stripe. Users authorize us to charge their designated payment method for the full subscription amount upon renewal. If a payment fails, service access may be suspended or terminated until the issue is resolved.
4. License terms and usage restrictions
Users receive a non-exclusive, non-transferable license to access the Platform and utilize exported data within permitted parameters. The resale, redistribution, or sublicensing of data is strictly prohibited. Users may not engage in unauthorized data collection, scraping, or use the service for spam or unethical marketing practices. Violations may result in immediate termination without refund.
5. Compliance requirements
Users must maintain compliance with GDPR, CCPA, and all applicable data protection regulations when utilizing exported data for prospecting purposes. This includes honoring opt-out requests and maintaining appropriate data handling practices.
6. Use of customer logos
By subscribing to our services, users grant AgencyDemand the right to display their company logo on our website to indicate their use of our platform. This does not imply sponsorship or endorsement. If a user wishes to have their logo removed, they may submit a written request, and we will comply within a reasonable timeframe.
7. Cancellation and refund provisions
Subscription payments are final, but refunds are available under specific conditions. Users may request a refund within 7 days of purchase, provided they have used fewer than 100 credits. Requests exceeding this threshold or made after the 7-day window are not eligible for a refund. Approved refunds are subject to a 5% processing fee to cover Stripe transaction costs. Users may cancel their subscription at any time; however, cancellation does not entitle them to a refund. The subscription remains active until the end of the annual billing period and will not auto-renew.
8. Liability limitations
Our liability for any claims arising from the use of exported data is limited to the total amount paid for the active subscription. We expressly disclaim liability for any direct, indirect, incidental, consequential, or special damages resulting from platform usage.
9. Service termination
We maintain the right to suspend or terminate service access for Terms violations, payment defaults, or service misuse. Termination does not entitle users to refunds or compensation.
10. Terms modification
These Terms may be updated periodically, with continued platform use constituting acceptance of any revisions. Significant modifications will be communicated through email or platform notifications.
11. Governing law and dispute resolution
These Terms are governed by the laws of England and Wales. Any disputes shall be resolved through arbitration in London, UK, unless otherwise required by law.
